What CPA services are required for a Regulation Crowdfunding (Reg CF) campaign?

Under SEC Regulation Crowdfunding (Reg CF), the financial reporting requirements depend on the amount being raised. Campaigns raising up to $124,000 require financial statements certified by the principal officer. Campaigns raising between $124,000 and $618,000 require CPA-reviewed financial statements. Campaigns raising over $618,000 require audited financial statements from an independent CPA.

Regulation Crowdfunding, commonly known as Reg CF, is a regulatory framework introduced with the JOBS Act in 2016. In addition, it makes it possible for anyone to invest in privately held securities. Furthermore, all transactions must be conducted online through an SEC-registered intermediary, either a broker-dealer or a funding portal. Reg CF has become one of the most accessible pathways for early-stage companies to raise growth capital, with thousands of campaigns successfully funded on platforms across the United States since the regulation took effect.

How long does the CPA Review process take?

The timeline for completing a CPA review for a Regulation Crowdfunding (Reg CF) campaign depends on several factors, including the size of the company, the condition of the financial records, and the responsiveness of the client during the document gathering phase.

For most Reg CF campaigns, the CPA review process takes 1–6 weeks once all required documents are submitted. Companies with clean, up-to-date books and organized financial records typically fall on the shorter end of that range. Organizations with incomplete records, misclassified transactions, or books that require cleanup prior to the review may require additional time.

To keep your campaign on schedule, we recommend initiating the CPA review engagement at least 6–8 weeks before your target launch date on platforms such as WeFunder, StartEngine, or Republic. This allows sufficient time for document collection, analytical procedures, inquiries, and final report issuance without delaying your raise.
