Under SEC Regulation Crowdfunding (Reg CF), the financial reporting requirements depend on the amount being raised.
$124,000 or less: Financial statements and certain information from the issuer’s federal income tax returns, both certified by the principal executive officer, may be permitted. If reviewed or audited financial statements are already available, those statements must generally be provided instead.
More than $124,000 but not more than $618,000: Financial statements reviewed by an independent public accountant are required. If audited financial statements are already available, the audited statements must be provided instead.
More than $618,000 but not more than $1,235,000 for a first-time Reg CF issuer: Reviewed financial statements may be used if audited financial statements are not already available.
More than $618,000 for an issuer that previously sold securities under Reg CF: Audited financial statements are required.
More than $1,235,000: Audited financial statements are generally required.
Regulation Crowdfunding, commonly known as Reg CF, is a regulatory framework introduced with the JOBS Act in 2016. In addition, it makes it possible for anyone to invest in privately held securities. Furthermore, all transactions must be conducted online through SEC-registered intermediary, either a broker-dealer or a funding portal. Reg CF has become one of the most accessible pathways for early-stage companies to raise growth capital, with thousands of campaigns successfully funded on platforms across the United States since the regulation took effect.
We take the security and confidentiality of our clients’ financial information seriously. We use the best practices to protect sensitive data and we adhere to strict confidentiality policies and procedures.
The timeline for completing a CPA review for a Regulation Crowdfunding (Reg CF) campaign depends on several factors, including the size of the company, the condition of the financial records, and the responsiveness of the client during the document gathering phase.
For most Reg CF campaigns, the CPA review process takes 1–6 weeks once all required documents are submitted. Companies with clean, up-to-date books and organized financial records typically fall on the shorter end of that range. Organizations with incomplete records, misclassified transactions, or books that require cleanup prior to the review may require additional time.
To keep your campaign on schedule, we recommend initiating the CPA review engagement at least 6–8 weeks before your target launch on platforms such as WeFunder, StartEngine, or Republic. This allows sufficient time for document collection, analytical procedures, inquiries, and final report issuance without delaying your raise.
We work closely with founders throughout the engagement, providing clear timelines, regular updates, and direct access to a licensed CPA.
We believe in transparency and fairness, which is why we don’t have a one-size-fits-all pricing model. Instead, our fees are affordable to meet your specific needs and circumstances. Our minimum total fees start at $1,000.

Ensuring your financial information is accurate and compliant is crucial for the success of any crowdfunding campaign. Accordingly, adhering to Generally Accepted Accounting Principles (GAAP) is essential for presenting financials in a standardized and accepted accounting principles format. This not only enhances transparency but also builds trust with potential investors.
Regulation Crowdfunding (Reg CF) mandates specific financial reporting standards. Your financials must be presented in GAAP format to meet these requirements.
